PART A — WEBSITE TERMS OF USE
1. Who we are
1.1 This website, courveia.com (the "Site"), is operated by Courveia GmbH, a limited liability company incorporated in Switzerland, company registration number CH-020.4.084.835-4, registered office c/o Contor Treuhand AG, Weinbergstrasse 131, 8006 Zürich, Zurich, Switzerland.

2. Acceptance
2.1 By accessing or using the Site you agree to these Terms of Use. If you do not agree, do not use the Site.
2.2 Purchases are additionally governed by the Terms of Sale in Part B. Where the two conflict in relation to a purchase, Part B prevails.
3. Changes
3.1 We may amend these Terms of Use at any time by posting an updated version with a new "last updated" date. Changes take effect on posting and apply to use of the Site from that point. Changes do not apply retrospectively to orders already placed.
4. Eligibility
4.1 You must be at least 18 years old and have legal capacity to enter into contracts in order to place an order.
5. Accounts
5.1 If you create an account you are responsible for keeping your credentials confidential and for all activity under your account. Notify us without delay at courveia@gmail.com if you suspect unauthorised use.
5.2 We may suspend or close an account that we reasonably believe has been used in breach of these Terms.
6. Acceptable use
You may not:
• use the Site unlawfully, fraudulently or for any harmful purpose;
• copy, scrape, data-mine, or systematically extract content from the Site;
• use automated systems to access the Site in a manner that sends more requests than a human could reasonably produce;
• introduce malware or attempt to gain unauthorised access to the Site or its servers;
• resell, or offer for resale, products purchased from the Site without our written consent;
• use our trade marks, product images or content for commercial purposes without written permission.
7. Intellectual property
7.1 All content on the Site — including designs, product images, photographs, films, text, graphics, page layout, the COURVEIA name, logo and product names — is owned by or licensed to Courveia and is protected by copyright, design right and trade mark law.
7.2 You may view, download and print content for your own personal, non-commercial use. All other use requires our prior written consent.
7.3 Nothing on the Site grants any licence or right to use any Courveia trade mark.
8. Content you submit
8.1 If you submit content to the Site or tag us on social media using a hashtag we designate for this purpose, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, adapt and display that content in connection with our marketing, on the Site and on our social channels.
8.2 You confirm that you own or control the rights in the content, that it does not infringe third-party rights, and that any identifiable person shown has consented.
8.3 We may remove submitted content at any time without notice.
9. Third-party links
9.1 The Site may link to third-party websites. We do not control them and accept no responsibility for their content, products or privacy practices.
10. Availability
10.1 We do not guarantee that the Site will be available uninterrupted or error-free. We may suspend, withdraw or restrict all or part of the Site for business or operational reasons, and will give reasonable notice where we can.
11. Liability
11.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any liability that cannot be excluded or limited under applicable law.
11.2 Subject to Clause 11.1, we exclude liability for indirect or consequential loss, loss of profit, loss of business or loss of data arising from use of the Site.
11.3 If you are a consumer, your mandatory statutory rights are not affected by these Terms.
12. Privacy
12.1 Our Privacy Policy at explains how we handle personal data, and forms part of these Terms.
13. General
13.1 If any provision is found invalid, the remainder continues in force.
13.2 Our failure to enforce a provision is not a waiver of it.
13.3 You may not assign your rights under these Terms. We may assign ours to a group company or on a sale of the business.
14. Governing law and jurisdiction
14.1 These Terms are governed by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.
14.2 The courts of the City of Zurich, Switzerland, have jurisdiction.
14.3 If you are a consumer resident in the EU or UK, this Clause 14 does not deprive you of the protection of the mandatory consumer law of your country of residence, nor of your right to bring proceedings in the courts of that country.
PART B — TERMS OF SALE
1. Scope
1.1 These Terms of Sale govern all orders placed through the Site. Please read them before ordering; you will be asked to accept them at checkout.
1.2 They apply to consumers and to business customers. Where a clause applies only to consumers, this is stated.
2. How a contract is formed
2.1 Product listings are an invitation to treat, not an offer. Your order is an offer to buy.
2.2 We will send an order acknowledgement by email. This confirms receipt but does not conclude a contract.
2.3 A contract is concluded only when we send a dispatch confirmation, or — for pre-orders — an order confirmation expressly stated to be a confirmation of contract.
2.4 We may decline an order, including where the product is unavailable, where a price or description was manifestly incorrect, or where we suspect fraudulent or resale activity. If we decline after payment, we refund in full without delay.
3. Prices, taxes and duties
3.1 Prices are shown in [CHF / EUR] and are inclusive of Swiss VAT where applicable.
3.2 For deliveries outside Switzerland, import duties, VAT and customs clearance fees may be payable on arrival. Unless the checkout expressly states that duties are prepaid ("DDP"), these are payable by you and are not included in the price.
3.3 Shipping costs are shown at checkout before you confirm your order.
3.4 We reserve the right to correct manifest pricing errors before dispatch. Where a price is corrected, we will contact you and you may cancel for a full refund.
4. Payment
4.1 Accepted payment methods are shown at checkout. Payment is taken [in full at the time of order / as set out in Clause 5 for pre-orders].
4.2 Title in the goods passes to you on full payment. Risk passes on delivery, or, if you are not a consumer, on handover to the carrier.
5. Pre-orders
5.1 Certain products are offered on a pre-order basis. Pre-ordered products are manufactured after the order window closes and are not held in stock at the time you order.
5.2 Payment is taken [in full at the time of pre-order / as a deposit of 50% at the time of pre-order, with the balance payable before dispatch].
5.3 The estimated dispatch period is stated on the product page. Estimated dates are indicative and not guaranteed. We will notify you by email if the estimate changes materially.
5.4 Production is demand-led. If the minimum order quantity for a product is not reached by the close of the pre-order window, we may cancel affected pre-orders and will refund all sums paid in full within [14] days.
5.5 You may cancel a pre-order at any time before dispatch for a full refund, by writing to [•]@courveia.com. This right is in addition to any statutory right of withdrawal.
5.6 If dispatch is delayed beyond [60] days after the stated estimated dispatch date, you may cancel and receive a full refund.
5.7 Clauses 5.4 to 5.6 do not apply to bespoke commissions under Clause 9.
6. Delivery
6.1 We deliver to the countries listed at checkout. Delivery timescales are estimates.
6.2 You must provide accurate delivery details. We are not liable for failed delivery caused by incorrect information.
6.3 If delivery is refused or unclaimed and the goods are returned to us, we may deduct our reasonable outbound and return shipping costs and any duties incurred from any refund, unless you are a consumer exercising a statutory right of withdrawal.
7. Right of withdrawal — consumers in the EU and UK
7.1 If you are a consumer resident in the EU or the UK, you have the right to withdraw from the contract within 14 days without giving a reason. The period runs from the day you or a third party you nominate takes physical possession of the goods.
7.2 To exercise the right, tell us by a clear statement sent to courveia@gmail.com before the period expires. You may use the model withdrawal form but are not obliged to.
7.3 Return the goods to us without undue delay and in any event within 14 days of notifying us. [You bear the direct cost of return / We provide a prepaid return label].
7.4 We refund all payments received, including standard outbound delivery, within 14 days of receiving the goods back or of receiving evidence that you have returned them, whichever is earlier.
7.5 You are liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning.
7.6 The right of withdrawal does not apply to goods made to your specifications or clearly personalised, including bespoke commissions under Clause 9.
8. Voluntary returns
8.1 In addition to any statutory right, we accept returns of unworn, unused products in original condition and packaging within 7 days of delivery. Return shipping is at your cost.
8.2 Sale items, bespoke commissions and personalised products are excluded from voluntary returns.
9. Bespoke commissions
9.1 Bespoke commissions are made to your specification. A separate commission confirmation setting out the specification, price and timeline forms part of the contract.
9.2 A non-refundable deposit of [50]% is payable on confirmation. The balance is payable before dispatch.
9.3 Because bespoke commissions are made to your specification, the statutory right of withdrawal in Clause 7 does not apply and they cannot be returned or exchanged except where faulty.
9.4 Your statutory rights in respect of faulty goods are unaffected.
10. Faulty goods and conformity
10.1 We are legally required to supply goods that conform to the contract. If a product is faulty or not as described, contact us at courveia@gmail.com.
10.2 Consumers in the EU and UK benefit from a statutory guarantee period of two years from delivery. Swiss consumers benefit from the warranty period under Art. 210 of the Swiss Code of Obligations.
10.3 Natural materials vary. Differences in grain, colour and marking in leather are characteristic of the material and are not defects. Colour reproduction on screen may differ from the physical product.
10.4 Damage caused by wear and tear, misuse, accident, or failure to follow the care instructions supplied is not a manufacturing fault.
11. Our liability to you
11.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, for gross negligence or wilful misconduct, for defective products under applicable product liability law, or for any liability that cannot lawfully be excluded.
11.2 Subject to Clause 11.1, our total liability in connection with an order is limited to the price paid for that order.
11.3 If you are a business customer, we are not liable for loss of profit, business, contracts or anticipated savings.
12. Force majeure
12.1 We are not liable for delay or failure caused by events beyond our reasonable control. If such an event materially delays an order by more than [60] days, either party may cancel and we will refund all sums paid.
13. Complaints and dispute resolution
13.1 Please contact us first courveia@gmail.com. We aim to respond within 5 working days.
13.2 Consumers resident in the EU may contact their national alternative dispute resolution body or the European Consumer Centre in their country of residence. [We are / are not] obliged to participate in dispute resolution proceedings before a consumer arbitration board.
14. Governing law and jurisdiction
14.1 These Terms of Sale are governed by Swiss law, excluding its conflict-of-law rules and the CISG.
14.2 The courts of the City of Zurich have jurisdiction, save that a consumer resident in the EU or UK retains the protection of the mandatory law of their country of residence and may bring proceedings in the courts of that country.
